1. Acceptance of Terms
By downloading, installing, or using LISBridge software or by creating an account at lisbridge.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the service.
These Terms constitute a legally binding agreement between you (or the organisation you represent) and Trodad International LTD ("LISBridge", "we", "us").
2. Description of Service
LISBridge provides:
- Desktop application — a native cross-platform application (Windows, macOS, Linux) built with Tauri and Rust that connects laboratory instruments to Hospital Information Systems (HIS) and LIMS via RS-232 serial and TCP/IP protocols.
- Web platform — lisbridge.com, where you manage subscriptions, licenses, devices, and account settings.
- Parser engine — a WebAssembly (WASM) module that parses ASTM E1394, HL7 v2.x, and custom instrument protocols. The module is hot-swappable and updated automatically without requiring a desktop app restart.
The desktop application is designed for offline-capable operation. All laboratory and patient data is processed locally on your hardware and is never transmitted to LISBridge servers.
3. Accounts & Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
- You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.
- One account may manage multiple devices, subject to the limits of your subscription plan.
4. Subscriptions & Billing
LISBridge operates on a SaaS subscription model. Plans are billed monthly or annually and renew automatically unless cancelled.
- Payment — processed securely via Stripe. We accept major credit and debit cards.
- Renewal — your subscription renews automatically at the end of each billing period. You will be notified by email before renewal.
- Cancellation — you may cancel at any time from the dashboard. Access continues until the end of the current billing period. No partial refunds are issued for unused time unless required by applicable law.
- Price changes — we will provide at least 30 days' notice of any price changes via email.
5. Free Trial
LISBridge offers a 7-day free trial for new accounts. No credit card is required to start a trial.
- Trial accounts have access to all features of the selected plan.
- At the end of the trial period, the account will expire and the desktop application will deactivate until a paid subscription is purchased.
- One free trial per organisation. Creating multiple accounts to extend trial access is a violation of these Terms.
6. Device Licensing
LISBridge uses device-based licensing. Each license key is bound to a specific machine using a hardware-derived identifier.
- Activation — a license key must be entered in the desktop app to activate it on a device. The key is validated against your machine ID.
- Limits — the number of simultaneously active devices is determined by your subscription plan.
- Offline operation — once activated, the license is cached locally. The desktop app can operate offline for up to 24 hours without contacting the licensing server.
- Revocation — you may revoke a device from your dashboard at any time to free up a license slot for another device.
- Transfers — you may not transfer a license key to a third party or use it on a device not registered to your account.
7. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code of the LISBridge desktop application or WASM parser module.
- Resell, sublicense, or redistribute LISBridge software without written authorisation (except through the official affiliate program).
- Use LISBridge in any way that violates applicable laws, including healthcare data regulations in your jurisdiction.
- Attempt to circumvent licensing validation, device binding, or HMAC authentication.
- Use the service to process data for which you do not have appropriate consent or authorisation.
8. Intellectual Property
All rights, title, and interest in and to the LISBridge software, website, parser engine, and associated documentation are owned exclusively by Trodad International LTD. These Terms do not grant you any ownership rights in the software — only a limited, non-exclusive, non-transferable license to use it in accordance with your subscription.
9. Affiliate & Partner Program
LISBridge operates a multi-tier partner program with three designation levels: Agent, Distributor, and Reseller. If you participate:
- Commissions are calculated based on the subscription purchases of users you refer.
- Commission rates and tier structures are defined in the programme documentation available in your dashboard.
- Commissions are subject to a minimum withdrawal threshold and payment processing timelines as stated in the dashboard.
- LISBridge reserves the right to modify commission structures with 30 days' notice.
- Fraudulent referral activity (self-referral, fake accounts) will result in immediate account termination and forfeiture of all commissions.
10. Disclaimers
LISBridge is middleware software designed to facilitate data transfer between instruments and HIS/LIMS systems. It is not a medical device and does not provide clinical decision support. You are solely responsible for ensuring that your use of LISBridge complies with applicable healthcare regulations in your jurisdiction.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Trodad International LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or business interruption, arising from your use of or inability to use LISBridge, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising under these Terms shall not exceed the total amount paid by you to LISBridge in the 12 months preceding the claim.
12. Termination
- By you — you may cancel your subscription and close your account at any time from the dashboard.
- By us — we may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding subscription fees.
- Upon termination, your license keys will be revoked and the desktop application will deactivate. Data stored locally on your devices is not affected.
13. Governing Law
These Terms are governed by and construed in accordance with the laws applicable to Trodad International LTD. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the jurisdiction of incorporation of Trodad International LTD.
